Terms of Service

These Terms of Service ("Terms") govern your access to and use of the KredSLA platform, website, and services (collectively, the "Service"). By signing up for an account or using the Service, you agree to be bound by these Terms and our Privacy Policy.
If you are registering on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
1. Description of Service
KredSLA is a SaaS platform that automates the discovery, tracking, and recovery of Service Level Agreement (SLA) credits from public cloud providers including AWS, Azure, GCP, and OCI. The Service operates by:
- Collecting read-only cloud infrastructure metadata via scoped IAM credentials
- Monitoring for SLA violations using provider health APIs and metrics
- Filing credit claims with cloud providers on your behalf
- Tracking claim status through resolution
2. Account Registration & Security
To use the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your password and credentials
- Promptly notify us of any unauthorized use or security breach
- Accept responsibility for all activities that occur under your account
3. Read-Only Access & Credentials
To use KredSLA, you must provide the platform with scoped, read-only credentials (via IAM Roles or equivalent) for your cloud environments. KredSLA will operate on a read-only basis except when submitting support tickets on your behalf to claim SLA credits.
You are responsible for:
- Ensuring credentials are scoped to the minimum permissions listed in our documentation
- Rotating or revoking credentials if you suspect unauthorized access
- Deleting IAM roles upon termination of this agreement
4. Fees & Payment
4.1 Pricing Model
KredSLA operates on a subscription plus contingency model:
- Subscription Fee: As specified in your order form
- Contingency Fee: A percentage (default 20%) of successfully recovered SLA credits, invoiced via Stripe
- Payment terms: Net 30 from invoice date
- All fees are non-refundable unless otherwise agreed in writing
4.2 Billing
Commission fees are invoiced monthly for credits applied to your provider accounts in the preceding period. Failure to pay fees may result in suspension or termination of the Service.
5. Data Processing
Customer data is processed in accordance with our Privacy Policy and Data Processing Agreement. By using the Service, you acknowledge that:
- KredSLA acts as a Data Processor on your behalf
- You are the Data Controller for any personal data within your cloud environments
- You are responsible for having a lawful basis to share data with KredSLA
6. Security
KredSLA employs industry-standard security measures including:
- SOC 2 Type I compliance framework
- Encryption at rest (AES-256) and in transit (TLS)
- Secrets management via OpenBao/Vault — cloud credentials never stored in the application database
- Role-based access controls with strict tenant isolation
- Two-factor authentication and enterprise SSO support
- Regular security assessments and automated dependency auditing
7. Warranties & Disclaimers
THE SERVICE IS PROVIDED "AS-IS" AND "AS AVAILABLE." WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not guarantee:
- That any specific SLA credit claim will be approved by a cloud provider
- Uninterrupted or error-free operation of the Service
- That changes to cloud provider SLA policies will not affect claims
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KREDSLA'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL KREDSLA BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
9. Indemnification
Customer agrees to indemnify and hold harmless KredSLA from claims arising from:
- Customer's breach of these Terms
- Customer's use of the Service in violation of applicable law
- Customer's failure to secure IAM credentials
10. Termination
Either party may terminate this agreement with 30 days' written notice. Upon termination:
- KredSLA will cease accessing your cloud environments
- Outstanding contingency fees for claims already filed remain due
- Customer data will be purged in accordance with our Data Retention Policy and Privacy Policy
- You are responsible for deleting IAM roles used by KredSLA
You may also terminate your account at any time by contacting support at support@kredsla.com.
11. Changes to Terms
We may update these Terms with 30 days' notice via email to your registered address. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
